1. General provisions
1.1. These Terms of Service set out the rules for using the Simpler One platform, hereinafter referred to as the "Platform", provided by Simpler Sp. z o.o. with its registered office in Warsaw, hereinafter referred to as the "Service Provider".
1.2. The Platform enables users to create, manage, and publish requests for quotation using artificial intelligence technology and to build a vendor database.
1.3. Use of the Platform requires acceptance of these Terms of Service and the Privacy Policy.
1.4. The Terms of Service are available free of charge on the Platform website in a form that allows them to be downloaded, saved, and printed.
1.5. The Service Provider reserves the right to amend the Terms of Service for important reasons, in particular in the event of changes to applicable law, changes to Platform functionality, or the introduction of new services.
2. Definitions
2.1. Platform – the Simpler One information system enabling the creation and management of requests for quotation and a vendor database.
2.2. User – a natural person, legal entity, or organizational unit without legal personality that has registered on the Platform and uses its services.
2.3. Account – an individual User account on the Platform, protected by a login and password, providing access to Platform functionality.
2.4. Request for quotation – a document created by the User to obtain offers from potential suppliers of services or products.
2.5. Vendor – a business entity listed in the vendor database that may receive a request for quotation from the User.
2.6. AI / Artificial Intelligence – technology used by the Platform to automatically generate request for quotation content and to support the process of creating them.
2.7. Organization – the entity represented by the User on whose behalf the User uses the Platform.
3. Registration and user account
3.1. Registration requirements
3.1.1. Registration on the Platform is voluntary and free for basic functionality.
3.1.2. The User may register only once, providing true, current, and complete data.
3.1.3. Registration requires providing: organization name, first and last name, email address, and creating a password.
3.1.4. By registering, the User declares that they are authorized to represent the Organization in respect of using the Platform.
3.2. Account security
3.2.1. The User is obliged to keep Account login credentials confidential.
3.2.2. The User bears full responsibility for all actions performed using their Account.
3.2.3. If unauthorized access to the Account is suspected, the User must immediately notify the Service Provider.
3.2.4. The Service Provider reserves the right to block the Account if a security breach or breach of the Terms of Service is suspected.
3.3. Data updates
3.3.1. The User is obliged to keep registration data up to date.
3.3.2. The Service Provider is not liable for the consequences of providing false or outdated data.
4. Rules for using the platform
4.1. Permitted use
4.1.1. The User may use the Platform only for purposes consistent with its intended use and applicable law.
4.1.2. The Platform may be used to create requests for quotation, manage the vendor database, and communicate with vendors.
4.1.3. The User is obliged to observe the principles of social coexistence and good business practices.
4.2. Prohibited activities
4.2.1. It is prohibited to use the Platform in a manner inconsistent with law, the Terms of Service, or good morals.
4.2.2. It is prohibited to post content that is unlawful, offensive, discriminatory, or infringes the rights of third parties.
4.2.3. It is prohibited to take actions aimed at disrupting the operation of the Platform or obtaining unauthorized access.
4.2.4. It is prohibited to copy, modify, or distribute elements of the Platform without the Service Provider's consent.
4.2.5. It is prohibited to use automated tools (bots) to interact with the Platform without the Service Provider's consent.
4.3. Consequences of violations
4.3.1. In the event of a breach of the Terms of Service, the Service Provider may suspend or delete the User's Account without prior notice.
4.3.2. The Service Provider reserves the right to pursue claims for damages caused by a breach of the Terms of Service.
5. AI functionality
5.1. Scope of AI use
5.1.1. The Platform uses artificial intelligence technologies to generate request for quotation content based on data entered by the User.
5.1.2. AI supports the process of creating requests through suggestions, content completion, and document format optimization.
5.1.3. The User may fully control content generated by AI by editing, modifying, or rejecting it.
5.2. Responsibility for AI content
5.2.1. The User bears full responsibility for request for quotation content, including content generated with the help of AI.
5.2.2. The User is obliged to verify the correctness, legality, and adequacy of content before publication.
5.2.3. The Service Provider is not liable for the quality, accuracy, or legal consequences of content generated by AI.
5.2.4. The Service Provider does not guarantee that content generated by AI will be error-free or fully meet the User's expectations.
5.3. Improving AI systems
5.3.1. The Service Provider may use anonymized data from User interactions with AI to improve algorithms.
5.3.2. Data used for AI training is stripped of information identifying the User or their Organization.
6. Requests for quotation
6.1. Creating requests
6.1.1. The User may create requests for quotation independently or with the support of AI functionality.
6.1.2. A request for quotation must contain complete and truthful information necessary to prepare an offer.
6.1.3. The User may save requests as drafts and publish them after verification.
6.2. Publication and distribution
6.2.1. Publishing a request for quotation means making it available to selected vendors from the database.
6.2.2. The User independently selects the vendors who will receive the request for quotation.
6.2.3. The Platform enables tracking the status of requests and received offers.
6.3. Managing offers
6.3.1. The User may review, compare, and evaluate received offers within the Platform.
6.3.2. Selecting an offer and concluding a contract with a vendor takes place outside the Platform and does not require the Service Provider's involvement.
6.3.3. The Service Provider is not liable for the quality of offers or for the performance of contracts concluded between the User and a vendor.
7. Vendor database
7.1. Access to the database
7.1.1. The Platform provides Users with a database of verified vendors from various industries.
7.1.2. The User may browse vendor profiles, their competencies, and past experience.
7.1.3. Access to the full vendor database may depend on the subscription plan held.
7.2. Vendor verification
7.2.1. The Service Provider makes efforts to ensure that vendors in the database are verified for credibility.
7.2.2. Verification does not constitute a guarantee of the quality of a vendor's services or their credibility.
7.2.3. The User is obliged to conduct their own assessment of a vendor before concluding a contract.
7.3. Building a private database
7.3.1. The User may add their own vendors to their private database within the Platform.
7.3.2. Vendors added by the User are visible only to that User.
8. Liability of the parties
8.1. Service Provider liability
8.1.1. The Service Provider undertakes to ensure Platform availability for 99% of the time on a monthly basis.
8.1.2. The Service Provider is not liable for interruptions in Platform operation caused by force majeure or actions of third parties.
8.1.3. The Service Provider is not liable for the consequences of decisions made by the User based on content generated by AI.
8.1.4. The Service Provider is not a party to contracts concluded between the User and vendors and is not liable for their performance.
8.2. User liability
8.2.1. The User bears full responsibility for content published on the Platform.
8.2.2. The User undertakes to remedy damage caused to the Service Provider or third parties as a result of a breach of the Terms of Service.
8.2.3. The User undertakes to use the Platform in accordance with applicable law and good morals.
8.3. Limitation of liability
8.3.1. The Service Provider's liability to the User is limited to the amount of fees paid by the User during the last 12 months.
8.3.2. The Service Provider is not liable for indirect damages, lost profits, or loss of data.
9. Personal data protection
9.1. The controller of Users' personal data is Simpler Sp. z o.o.
9.2. Detailed rules for processing personal data are set out in the Privacy Policy available on the Platform website.
9.3. Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR).
9.4. The User has the right to access their data, rectify it, erase it, restrict processing, and the right to data portability.
9.5. The User has the right to lodge a complaint with the supervisory authority responsible for personal data protection.
9.6. The Service Provider applies appropriate technical and organizational measures to ensure the security of personal data.
10. Intellectual property
10.1. Service Provider rights
10.1.1. All intellectual property rights to the Platform, including copyrights, trademarks, and patents, belong to the Service Provider.
10.1.2. The User does not acquire any rights to the Platform other than the right to use it in accordance with the Terms of Service.
10.1.3. It is prohibited to copy, modify, or distribute elements of the Platform without the Service Provider's consent.
10.2. User rights
10.2.1. The User retains full copyright to content they create and publish on the Platform.
10.2.2. By publishing content on the Platform, the User grants the Service Provider a non-exclusive license to use it to the extent necessary to provide services.
10.2.3. The license expires upon deletion of the content by the User or upon termination of use of the Platform.
10.3. AI-generated content
10.3.1. Content generated by AI based on User data belongs to the User.
10.3.2. The User may freely use, modify, and distribute content generated by AI.
11. Termination of the agreement
11.1. Withdrawal by the User
11.1.1. The User may delete their Account and stop using the Platform at any time.
11.1.2. Deleting the Account results in permanent deletion of the User's data from the Platform, except for data that the Service Provider is obliged to retain under applicable law.
11.1.3. In the case of paid subscription plans, withdrawal does not entitle the User to a refund for the unused period.
11.2. Termination by the Service Provider
11.2.1. The Service Provider may terminate the agreement and delete the User's Account in the event of a material breach of the Terms of Service.
11.2.2. The Service Provider may suspend the User's Account if a breach of the Terms of Service is suspected until the matter is clarified.
11.2.3. The Service Provider may cease providing services for important reasons, notifying Users 30 days in advance.
12. Final provisions
12.1. Matters not regulated by the Terms of Service shall be governed by Polish law.
12.2. Any disputes arising from use of the Platform shall be resolved by the court competent for the Service Provider's registered office.
12.3. If any provision of the Terms of Service is found to be invalid, the remaining provisions shall remain in force.
12.4. The Service Provider reserves the right to amend the Terms of Service. Changes take effect after 14 days from the date of publication of the new Terms of Service.
12.5. The User will be informed of changes to the Terms of Service by email or notification on the Platform.
12.6. Continued use of the Platform after the changes take effect constitutes acceptance of those changes.
12.7. If the User does not accept the changes, they have the right to delete their Account before the changes take effect.
Terms acceptance
By registering on the Simpler One platform, you confirm that you have read these Terms of Service and the Privacy Policy and accept their provisions. Acceptance is given by checking the appropriate box in the registration form.
